Terms and Conditions for Ambient Artists Inc.

1. Introduction

Welcome to Ambient Artists Inc. ("we," "our," "us"). These Terms and Conditions ("Terms") govern your use of our services, website, and any agreements made between talent, clients, and our agency. By using our services, you agree to comply with these Terms.

2. Services Provided

We provide talent representation, booking coordination, career management, and related services. We act as an intermediary between talent and clients for casting, promotional, and performance opportunities.

3. Eligibility & Registration

To use our services, you must:

  • Be at least 18 years old or have parental/guardian consent if under 18.
     

  • Provide accurate and complete information and documentation related to registration, employment, and residency.
     

  • Agree to these Terms.
    We reserve the right to accept or reject applications at our discretion.

4. Talent Representation Agreement

By signing with our agency, talent agrees to:

  • Provide accurate personal, payment, residency, and professional details.
     

  • Ensure that all information regarding availability, commitments, and changes to professional status is regularly updated, in accordance with the terms and conditions and registration process.
     

  • Adhere to exclusivity terms, if applicable.
     

We will:

  • Promote and submit talent for suitable opportunities.
     

  • Negotiate contracts on behalf of talent (where applicable).
     

  • Ensure fair and timely payments per agreed terms.

5. Client Agreements & Bookings

Clients engaging our talent agree to:

  • Provide accurate project details, schedules, and expectations.
     

  • Comply with all contractual and payment obligations.
     

  • Respect industry standards and talent rights.
     

  • Adhere to cancellation and modification terms as per the signed agreement.

6. Payments & Fees

  • Talent payments will be processed according to project terms and contractual agreements.
     

  • Agency fees and commissions are deducted per the agreed rate and taken from the original payment. The remaining amount will be issued to the Talent as a new payment, reflecting the deduction of agency fees and agreed-upon commissions.
     

  • Clients must make payments in full before or upon completion of services unless otherwise agreed.
     

  • Late payments may incur penalties or interest charges.

7. Code of Conduct

All parties must maintain professionalism and integrity. Unacceptable behavior includes:

  • Harassment, discrimination, or abuse.
     

  • Misrepresentation of identity or qualifications.
     

  • Failure to fulfill contractual obligations.
     

  • Unauthorized use of confidential information.
     

In addition:

  • Productions may require Talent to sign and comply with their own code of conduct as a condition of participation. These production-specific codes of conduct are considered an extension of this agency's Code of Conduct and are binding for the duration of the Talent’s involvement with that production.
     

  • Failure to comply with either the agency’s or production’s code of conduct may result in disciplinary action, including suspension or termination of the Talent’s agreement with Ambient Artists Inc.
     

Violations may result in termination of agreements or legal action.

8. Liability & Disclaimers

  • We act as an intermediary and are not responsible for disputes between talent and clients.
     

  • We do not guarantee specific job placements or earnings.
     

  • We are not liable for indirect damages, including loss of opportunity or reputational harm.
     

​

9. Indemnification

You agree to indemnify and hold harmless Ambient Artists Inc., its officers, employees, and affiliates from any claims, damages, liabilities, and expenses arising from your use of our services, breach of these Terms, or violation of any law or third-party rights.

10. Compliance with Canadian Laws

We operate in compliance with Canadian laws, including:

  • Consumer Protection Laws regarding service agreements and payment obligations.
     

  • PIPEDA (Personal Information Protection and Electronic Documents Act) for data privacy and security.
     

  • Quebec's Law 25, where applicable, ensuring compliance with provincial privacy regulations.

11. Force Majeure

We shall not be held liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including but not limited to natural disasters, government actions, labor strikes, or technical failures.

12. Termination & Cancellation

  • Talent may terminate agreements per contract terms, providing required notice.
     

  • Clients must adhere to cancellation policies for booked services, including those outlined by each production their services are engaged by.
     

  • We reserve the right to terminate agreements for policy violations or non-compliance.

13. Intellectual Property

  • Talent grants us the right to use photos, videos, and promotional materials for marketing purposes.
     

  • Clients must obtain appropriate licenses for talent content usage beyond agreed terms.
     

  • Unauthorized use of agency content is prohibited.

14. Privacy & Data Protection

Our Privacy Policy governs data collection, use, and storage. By using our services, you consent to our data practices outlined in our Privacy Policy.

15. Dispute Resolution

All disputes arising in connection with a production engagement are primarily between the Talent and the production itself. Talent must make reasonable efforts to resolve any issues directly with the production team, which typically includes the Assistant Director and/or Accounting Department.

Only after such efforts have been exhausted:

  • Disputes may be escalated and will first be attempted to be resolved through mediation.
     

  • If unresolved through mediation, legal action may be pursued in accordance with governing laws.
     

  • The governing jurisdiction for any such legal matters shall be Ontario, Canada.
     

Ambient Artists Inc. acts as an intermediary and is not responsible for disputes arising from production-related matters unless otherwise contractually obligated.

16. Changes to Terms & Conditions

We reserve the right to update these Terms at any time. Changes will be posted on our website, and continued use of our services constitutes acceptance of the updated Terms.
