Terms and Conditions for Ambient Artists Inc.

1. THE PARTIES

This agreement is entered into between Ambient Artists Inc. ("the agency") and [Talent/Performer Name] ("the Artists/Performer").

2. SCOPE OF REPRESENTATION

The Artists/Performer appoints the Agency to act as their representative for Background performing in the following fields: Film, Television, Commercials, Music Videos, and other forms of media where Background Performers are required including likeness representation.​

3. TERM & TERMINATION

  • Duration: This Agreement shall begin on [Start Date] and continue for a period of 36 months.
     

  • Termination: Either party may terminate this agreement by providing 30 days written notice.
     

  • Post-Termination: The Agency remains entitled to commission on any contracts negotiated or initiated during the term of this Agreement, even if the work occurs after termination.

4. COMMISSIONS

The Artist/Performer agrees to pay the Agency a commission on all gross compensation earned from work secured through the Agency's efforts:

  • Union/Guild Work: 11%

​

  • Non Union/Commercial/Music Video: 11%

​

  • Other Media/Likeness: 11%

​

  • Commissions are calculated on the gross fee before taxes

5. DISBURSEMENT OF FUNDS

  • The Agency is authorized to receive all payments on behalf of the Artist/Perfomer.
     

  • The Agency shall deduct its commissions and any pre-approved expenses and remit the balance to the Artist/Performer within 5-10 business days of the funds clearing the Agency's account.
     

  • Clients must make payments in full before or upon completion of services unless otherwise agreed.
     

  • Late payments may incur penalties or interest charges.

6. ARTISTS OBLIGATIONS

  • Professionalism: Artist/Performer agrees to arrive at auditions, fittings and bookings on time, prepared, and in a professional manner.
     

  • Updates: Artist/Performer must provide current headshots, other photos, reels, "book-out" dates (dates they are unavailable) to the Agency.  Additional photos may be requested to secure a booking on a specific production.
     

  • Direct Inquiries:  Artist/Performer shall refer all professional inquiries relevant to the Scope of Representation to the Agency.

7. MARKETING & LIKENESS​

The Artist/Performer grants the Agency the right to use their name, image, and biographical data for the purpose of promotion, marketing, and securing employment.

8. EXPENSES

The Artist/Performer is responsible for their own promotional materials (headshots, website fees).  The Agency shall not incur any expenses on behalf of the Artist/Perfomer without prior written consent.

9. DISPUTE RESOLUTION

Any disputes arising from this Agreement shall be governed by the laws in Ontario, Canada.
